Terms of Service

These terms set out the agreement between you and Auditor Alpha when you access or use our platform and services.

1. Agreement to These Terms

These Terms of Service (the “Terms”) govern your access to and use of the Auditor Alpha platform, website, and related services (together, the “Service”). The Service is provided by Sylara Ltd, trading as Sylara Group (“Auditor Alpha”, “we”, “us”, or “our”). By accessing or using the Service, or by authorising any user to do so, you agree to be bound by these Terms. If you do not agree, you must not use the Service.

2. Definitions

  • Account. The organisation-level workspace created when you register for the Service.
  • Authorised User.A named individual granted full operational access to the platform under your Account, counted against your plan's seat allocation.
  • Report Receiver. A user who receives and views delivered reports only, without operational access. Report Receivers are unlimited on every plan.
  • Customer Data. The financial and operational data you connect to or submit through the Service.
  • Revenue Under Assurance (RUA). The measure of your closed-won revenue over the trailing 365 days used to determine your plan tier.

3. The Service

Auditor Alpha provides continuous financial assurance and revenue-reconciliation monitoring. The Service connects to your systems on a read-only basis by default, surfaces discrepancies, and delivers reports and analytics. We may improve, modify, or add features from time to time, provided we do not materially reduce the core functionality of a paid plan during your billing period.

4. Accounts, Users & Seats

You are responsible for maintaining the confidentiality of your Account credentials and for all activity that occurs under your Account. Each plan includes a defined number of Authorised User seats and unlimited Report Receivers. Where a trial Account exceeds the seat allocation of the paid plan it converts to, the Account owner will be prompted to select which users retain full access or to upgrade to a plan with sufficient seats. You must ensure all users comply with these Terms.

5. Free Revenue Health Check

We offer a 7-day free Revenue Health Check so you can evaluate the Service on your own data. The trial is provided “as is” without warranty. We may modify or withdraw trial availability at any time. At the end of the trial, continued use requires a paid subscription.

6. Subscriptions, Plans & Billing

Paid plans are billed monthly or annually in advance according to the tier that matches your Revenue Under Assurance. All fees are stated exclusive of VAT; UK customers are charged VAT at the prevailing rate (currently 20%) at checkout. Annual plans are billed for the full term. Unless stated otherwise, fees are non-refundable except where required by law. We may revise pricing on renewal with reasonable prior notice.

7. Payment

You authorise us and our payment processors to charge the payment method on file for all fees due. If a payment fails or is overdue, we may suspend access to the Service until the balance is settled. You are responsible for providing accurate and current billing information.

8. Customer Data & Access

You retain all rights in your Customer Data. You grant us a limited licence to process it solely to provide and improve the Service. We access your systems on a read-only basis by default and apply least-privilege controls. Our handling of personal data is described in our Privacy Policy, which forms part of these Terms.

9. Acceptable Use

You agree not to misuse the Service, including by attempting to gain unauthorised access, reverse-engineering the platform, reselling access without authorisation, uploading unlawful or infringing content, or interfering with the integrity or performance of the Service. We may suspend access for conduct that breaches this section.

10. Intellectual Property

The Service, including its software, models, design, and content, is owned by Auditor Alpha and its licensors and is protected by intellectual-property laws. These Terms grant you a limited, non-exclusive, non-transferable right to use the Service during your subscription. No other rights are granted.

11. Confidentiality

Each party may receive confidential information from the other. Both parties agree to protect such information with reasonable care and to use it only to perform their obligations under these Terms, except where disclosure is required by law.

12. Third-Party Integrations

The Service may integrate with third-party systems you choose to connect. Your use of those systems is governed by their own terms, and we are not responsible for their availability, accuracy, or practices.

13. Disclaimers

The Service supports financial oversight but does not constitute accounting, audit, legal, or financial advice, and does not replace your own controls or professional advisers. To the fullest extent permitted by law, the Service is provided “as is” and “as available” without warranties of any kind, whether express or implied.

14. Limitation of Liability

To the fullest extent permitted by law, neither party is liable for indirect, incidental, or consequential losses, or for loss of profit, revenue, or data. Our total aggregate liability arising out of or relating to the Service is limited to the fees you paid to us in the twelve months preceding the event giving rise to the claim. Nothing in these Terms excludes liability that cannot be excluded under applicable law.

15. Indemnification

You agree to indemnify and hold Auditor Alpha harmless from claims, damages, and reasonable expenses arising from your Customer Data, your use of the Service in breach of these Terms, or your violation of applicable law.

16. Term & Termination

These Terms apply for as long as you use the Service. You may cancel at the end of your billing period. We may suspend or terminate access for material breach, non-payment, or where required by law. On termination, your right to use the Service ends; we will make Customer Data available for export for a reasonable period unless prohibited by law.

17. Changes to the Service or Terms

We may update these Terms from time to time. Where changes are material, we will provide reasonable notice. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms.

18. Governing Law

These Terms are governed by the laws of England and Wales, and the courts of England and Wales have exclusive jurisdiction over any dispute arising out of or relating to them.
